Terms of Service

Welcome to Meep. These Terms of Service ("Terms") govern your access to and use of the services provided by meepchat, LLC ("Company," "we," "us," or "our"), including our website at https://usemeep.com, mobile applications, and all related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Account Registration
To use certain features of the Services, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information to keep it accurate.
- Keep your password secure and confidential. You are responsible for all activity under your account.
- Notify us immediately at help@usemeep.com if you suspect unauthorized access to your account.
You must be at least 18 years of age to create an account and use the Services.
2. Description of Services
Meep provides a modular business communication and field service management platform designed for small service businesses. Our Services include:
Available modules and their descriptions are listed on our website. Not all modules may be available at all times. Some modules may be labeled "Coming Soon" and are not yet available for purchase. We may add, modify, or discontinue modules at any time.
3. Fees and Payment
Paid modules are billed on a subscription or one-time purchase basis, as indicated on our pricing page. Pricing, billing frequency, and included allowances are subject to change. Current pricing details are always available on our website.
3.1 Free Trials
Certain paid modules may offer a free trial period. You may be required to provide a valid payment method to start a trial. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan and you will be charged.
3.2 Overage Charges
Some modules include usage-based limits. If you exceed included allowances (e.g., SMS messages, voice minutes), overage charges may apply at the rates published on our pricing page.
3.3 Payment Processing
All payments are processed by Stripe. By subscribing to paid Services, you agree to Stripe's Terms of Service.
3.4 Cancellation and Refunds
You may cancel any paid module at any time from your account billing settings. Upon cancellation, you will retain access until the end of your current billing period. We do not provide refunds for partial billing periods. Cancellation of certain modules may result in the release of associated resources (e.g., provisioned phone numbers).
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights.
- Send unsolicited or unauthorized SMS messages, including cold texts, spam, or messages to individuals who have not provided explicit opt-in consent.
- Violate the Telephone Consumer Protection Act (TCPA) or any similar telecommunications regulations.
- Send bulk messages to contacts who have not expressly consented to receive communications from you.
- Transmit any content that is unlawful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Attempt to gain unauthorized access to any part of the Services, other accounts, or computer systems or networks connected to the Services.
- Use the Services to compete directly with Meep or to build a similar or competing product.
- Interfere with or disrupt the Services or the servers or networks providing the Services.
- Use automated means (bots, scrapers, etc.) to access the Services except through our published API with valid credentials.
We reserve the right to suspend or terminate your account if we determine, in our sole discretion, that you have violated these acceptable use terms.
5. SMS and Telecommunications Compliance
If you use the Phone module or any SMS-related features, you are solely responsible for:
- Obtaining proper opt-in consent from all recipients before sending any SMS or MMS messages.
- Maintaining records of consent for all message recipients.
- Honoring opt-out requests (e.g., "STOP" replies) promptly and in compliance with applicable law.
- Complying with all applicable telecommunications laws, including the TCPA, CAN-SPAM Act, and any state-specific regulations.
Meep provides the platform for sending messages but does not review or approve message content. You bear full responsibility for the legality and appropriateness of your communications.
6. Intellectual Property
The Services, including all software, designs, text, graphics, logos, and other content provided by Meep, are owned by meepchat, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.
You retain ownership of any data, content, or materials you upload to the Services ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to use, store, and process Your Content solely to provide and improve the Services.
7. Third-Party Services
The Services integrate with third-party providers, including but not limited to:
- Twilio for SMS, MMS, and voice calling infrastructure.
- Stripe for payment processing and subscription billing.
Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or availability of third-party services.
8. API Usage
If you use the API module, you agree to abide by the following usage limits and restrictions:
- API usage is subject to rate limits. Current rate limits are published in our API documentation and may change at any time.
- API keys must be kept confidential and not shared publicly.
- You may not use the API in a manner that degrades the performance of the Services for other users.
We reserve the right to throttle or suspend API access if usage exceeds limits or violates these Terms.
9. Data and Privacy
Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to the practices described in the Privacy Policy.
You are responsible for the data you store on the Services, including customer contact information and communications. You must ensure that your collection and use of such data complies with all applicable data protection and privacy laws.
10. Service Availability and Modifications
We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will make reasonable efforts to notify you of material changes.
11. Disclaimer of Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEEPCHAT, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- YOUR USE OR INABILITY TO USE THE SERVICES;
- ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN;
- ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICES;
- ANY MESSAGES SENT OR NOT SENT THROUGH THE SERVICES, INCLUDING SMS, MMS, OR VOICE COMMUNICATIONS.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless meepchat, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any law or the rights of any third party, including but not limited to TCPA violations resulting from your messaging activities.
14. Termination
We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. We may delete your account data after termination, subject to any legal retention obligations.
You may terminate your account at any time by contacting us or through your account settings. Termination does not relieve you of any obligation to pay outstanding fees.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Multnomah County, Oregon.
16. Changes to These Terms
We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. If we make material changes, we may notify you by email or by posting a notice on the Services. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms.
